Registration Process of LLP

Recently many entrepreneurs have started choosing the LLP form of business in view of its useful and combined features of Partnership and company’s formation. Mentioned below is the process involved in LLP registration.
  • Starting step is to apply for DIN / DSC application, 
          For applying for DIN form mainly required DIR-3 and DIR-4 (Affidavit signed by CA, CWA, CS) required to be filled with below additional documents
    1. Identity of applicant: PAN of the person
    2. Any one residential proof of following:
      • Adhare card, driving License, passport, election card, ration card, electricity bill, telephone bill.
          For DSE certificate Log on to the website of a Certifying Authority licensed to issue Digital Certificates in India. Apart from this all the partners required to file the Form INC-10 for specimen signatures.

  • Second step is Name approval for the concern company
For applying for name approval INC-1 application form for name approval of the company, also it is compulsory for the entrepreneur to go through the LLP naming guideline.
    • DIN/ PAN/Passport of the Applicant
    • Name
    •  Occupation
    • Address
    • E–mail Id
    • Phone and Mobile Number
  • Filing For Incorporation of LLP
Once the application for Name approval accepted by the MCA the LLP name approval will be provided by the authority of MCA to the concerned partners. The partners then have the 60 days to register the LLP by filing FORM-2 of incorporation with proper documents. But if the incorporation for was not submitted within 60 days then name approval required again with fresh date.
  •  Drafting and Filing LLP agreement
The last step of registration is to submit the LLP agreement required to be drafted with the proper norms and procedure of Limited Liability Partnership Act. While drafting a partnership firm the designated partners are required to take complete responsibility for the all the matter mentioned on LLP agreement. Finally after drafting the agreement FORM-3 is required to submit the agreement by using.

Documents required to form LLP Registration

  • ID Proof and Address Proof for all partners / designated partners, in ID proof self attested copy of PAN card and address proof any one of following Addhar Card | Voter Id | Passport | Driving License | Electricity Bill or Telephone Bill in the name of Partner | Ration Card |
  • Consent from all the partners for having DPIN and DSE
  • Registered office address proof which include any one from the following latest utility bill (Electric bill/Telephone bill/Gas Bill), latest tax receipt, and ownership deep of the property to be used for registered office.
  • Self Certified Copy of LLP Agreement
  • No Objection Certificate from landlord with rent agreement copy, if rent address is being used as registered address
  • Specimen signatures of all the partners in Form INC-10
